Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the gary.club website and the Gary Club ecosystem (“Services”), operated by Gary Club LLC (“Gary Club,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing gary.club or any Gary Club services, you represent that you are at least 18 years old and agree to be bound by these Terms. If you are using the Services on behalf of a business, you represent that you have the authority to bind that entity. If you do not agree, do not use our Services.

2. Description of Services

Gary Club is a community and ecosystem for entrepreneurs who build with AI, automation, and digital assets. Our Services include:

  • Community membership and networking
  • Educational content, training modules, and resources
  • AI Agency Unlocked — a SaaS platform for deploying AI voice agents (governed by its own Terms of Service)
  • Virtual events, webinars, and recordings
  • Documentation and knowledge base (docs.gary.club)
  • $GARY token rewards program on the Solana blockchain
  • Blog content and industry insights

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

3. Accounts

Certain features require an account. You must provide accurate information and are responsible for maintaining the security of your credentials. You are responsible for all activity under your account. Notify us immediately of any unauthorized access.

4. Payments & Subscriptions

Paid services are processed through Stripe. All prices are in US dollars. Fees are non-refundable except as required by applicable law. Subscription cancellations take effect at the end of the current billing period. We may change pricing with reasonable notice.

5. $GARY Tokens & Digital Assets

By participating in the $GARY token program, you acknowledge and agree:

  • $GARY tokens are utility tokens on the Solana blockchain for use within the Gary Club ecosystem. They are not securities, investments, or financial instruments.
  • Token values fluctuate based on market conditions. We make no representations about current or future value.
  • Blockchain transactions are public and irreversible. We are not responsible for losses due to wallet compromises, blockchain issues, network congestion, or user error.
  • If we provision a custodial wallet for you, private keys are encrypted (AES-256-GCM). We are not a licensed custodian or financial institution.
  • You may export your wallet private key at any time to manage tokens independently.
  • You are solely responsible for your wallet security and for securing exported private keys.
  • Rewards earned through the platform (training completion, event attendance, referrals) are subject to program rules that may change.

6. No Financial or Legal Advice

Nothing on gary.club or within any Gary Club service constitutes financial, investment, tax, or legal advice. All content — including educational materials, community discussions, token-related information, and AI-generated outputs — is for informational and educational purposes only. Always do your own research and consult qualified professionals before making financial or legal decisions.

7. Events & Content

Gary Club hosts virtual events, webinars, and training content. Events may be recorded and made available for replay. By participating, you consent to being included in recordings. Event recordings are stored on Cloudflare R2 and may be accessed via Zoom replay links. Event schedules, speakers, and content are subject to change without notice.

8. Acceptable Use

You agree not to:

  • Use our Services for any unlawful, fraudulent, or harmful purpose
  • Harass, threaten, or abuse other community members
  • Attempt to reverse-engineer, compromise, or disrupt the platform
  • Upload malicious content or content that infringes third-party rights
  • Manipulate or artificially inflate $GARY token metrics
  • Circumvent security measures or access restrictions
  • Scrape, mine, or automatically extract content from our Services
  • Misrepresent your identity or affiliation with Gary Club

9. Intellectual Property

All content, branding, software, and materials on gary.club are owned by Gary Club LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal or business purposes. You may not reproduce, distribute, or create derivative works without our written consent.

10. Third-Party Services

Our Services integrate with third-party platforms including Stripe (payments), Zoom (events), Supabase (authentication), Mailgun (email), and Helius/DexScreener (blockchain data). These services are governed by their own terms and privacy policies. We are not responsible for the practices or availability of third-party services.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT AND TOKEN PRICE DATA.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GARY CLUB LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, TOKENS, OR DIGITAL ASSETS, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Gary Club LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any applicable law.

14. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or any conduct we determine harmful to the platform or community. You may stop using the Services at any time. Upon termination, your right to access the Services ceases. Provisions that by their nature should survive termination (liability, indemnification, governing law) will remain in effect.

15. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in the State of Texas under the American Arbitration Association’s Commercial Arbitration Rules. You waive any right to a jury trial or participation in class actions.

16. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use after changes constitutes acceptance of the revised Terms.

18. Severability & Entire Agreement

If any provision of these Terms is held invalid, the remaining provisions continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gary Club LLC regarding the Services.
